TL;DR (Summary)

When you install or play our game “RioRise” by Novabits Ltd., you agree to this EULA and our Privacy Policy https://riorise.com/fr/privacy-policy. We give you a personal license to enjoy the Game, but you don’t own the Game or its content. Please don’t copy, sell, hack, cheat, or otherwise misuse it. We may update or rebalance the Game, run in-game events, or add new content over time. If an account is needed, you’re responsible for keeping your login safe – let us know at [email protected] if you think it’s been compromised. We may also collect and use your personal data as explained in the Privacy Policy at https://riorise.com/fr/privacy-policy.

If you purchase Premium Content or Virtual Currency, payments are final unless refunds are required by law. Refunds go through the store or platform you used, or directly through us at [email protected]. The Game is provided “as is,” and while we do our best, we can’t guarantee it will always be error-free. Any disputes will follow the laws of Cyprus and be resolved before national courts of Cyprus, unless your local laws allow you to use your own courts.

Introduction

This End User Licence Agreement (“EULA”) sets forth the terms and conditions under which you are authorised to install and/or use the video game under the title “RioRise” its upgrades, patches, updates, and associated services (collectively, the “Game”) published and/or provided by Novabits Ltd. (“Company” or “We”).

Please read this EULA carefully before installing, downloading, accessing or using the Game. By installing or using the Game, you agree to be bound by this EULA and our Privacy Policy https://riorise.com/fr/privacy-policy. If you do not agree with any of these conditions, please do not install or use the Game.

Changes to EULA

This EULA can be updated from time to time. Please check back periodically for the latest version of the EULA. If there are any significant changes made to the EULA, we will notify you. Your use of the Game following any changes to these EULA constitutes your acceptance of any such changes.

Eligibility

You may only enter into this EULA if you are of legal age to form a binding contract under the laws of your country of residence. If you are under the legal age, you and your parent or legal guardian must review and agree to this EULA together. Parents and guardians are responsible for the acts of children under the relevant legal age when installing, playing, or otherwise interacting with the Game.

Your Account and Your Information

You may be required to create an account in order to access or play the Game. Whether or not an account is required, we may collect and process your personal data in connection with your use of the Game. You are responsible for keeping secure your account credentials, including usernames, passwords, or other access details.

Any actions performed through your account using your credentials will be deemed to have been performed by you. If you believe your credentials have been compromised, you must notify us immediately at [email protected].

Non-Exclusive Limited Use License

Subject to your compliance with the terms and conditions of the EULA, We hereby grant you a personal, non-exclusive, non-transferable, non-assignable license to install and use the Game.

This EULA also applies to any patches, updates, downloadable content, or other additional content for the Game, whether provided free of charge or as paid content (“Premium Content”).

You may not use, or allow others to use, the Game or the license granted under this EULA for any commercial purpose.

The Game may only be downloaded from an authorized source. If you obtained the Game from an unauthorized source, this EULA does not apply, such use is unauthorized, and you must delete and stop using the Game immediately. You may not upload, share, distribute, or otherwise make the Game available on any network from which it could be downloaded by others.

Fees and Payment

The Game and Premium Content may be available free of charge, for a one-time purchase, or on a subscription basis.

Where payment is required, you agree to pay the full price in advance before accessing the Game or any Premium Content, in-game purchases, products, or services. All payments are final and non-refundable except as required by applicable law.

If the Game or any Premium Content is offered on a subscription basis, the terms of the subscription, including billing, renewal, and cancellation, will be presented to you at the time of purchase and form part of this EULA.

If a Game includes virtual currency, such as coins, credits, or points (“Virtual Currency”), you acknowledge and agree that any Virtual Currency is a limited, non-transferable, revocable, and purely contractual right to access certain in-game features, items, or content. Virtual Currency has no cash value, does not constitute legal tender, and cannot be exchanged for real money or real world goods or services.

Ownership

The Game is licensed, not sold. This licence does not confer any title or ownership right on you in the Game and should not be construed as a sale or transfer of intellectual property rights in the Game.

User-Generated Content

You are responsible for all content you share or create through the Game (if such features are available) (“UGC”). You hereby represent and warrant that:

• you own or otherwise control all necessary rights to your UGC;
• your UGC does not infringe the intellectual property, privacy, or other rights of any third party, and;
• your UGC does not contain any unlawful, offensive, or harmful material.

By posting or creating UGC, you grant us a worldwide, perpetual, non-exclusive, transferable, royalty-freelicense with the right to sublicense to use, copy, display, distribute, translate, reformat, and create derivative works for the Game and its promotion. You may remove your content at any time, but this license will last for a period that is commercially reasonable for us to use the UGC.

We may, at our discretion and without notice: (a) monitor or moderate UGC; (b) remove UGC from the Game; or (c) restrict your access to the Game if your UGC violates this EULA.

If you believe that your copyrights have been infringed in any way, please send us a complaint at [email protected] with “Copyright” in the subject line.

Restricted Actions

You agree to use the Game, or any part thereof, only in a manner consistent with this EULA, and you must not, directly or indirectly:

• sell, rent, lease, license, distribute, market, commercially exploit the Game or any of its part;
• copy, reproduce, distribute, display or use the Game in a manner not expressly permitted in this EULA;
• reverse engineer, derive the source code, modify, decompile, disassemble, copy or create derivative works of the Game, in whole or in part;
• remove, modify, disable, bypass any copyright, trademark indication, proprietary notice, label or technical protection measures included in the Game;
• create, develop, distribute or use any unauthorised software to gain an advantage in any online or other game mode;
• use the Game or create, use, share and/or publish by any means whatsoever in connection with the Game any material intended to infringe or violate the rights of a third party;
• use, export or re-export the Game in violation of any applicable law or regulation;
• behave in a manner prejudicial to the enjoyment of the Game by other users (harassing or threatening other users, using abusive or offensive language, sabotaging a game, transmitting or spreading a virus, Trojan horse, worm, bomb, corrupted file or data, spamming, social engineering, scamming, cheating, etc.).
• violate any applicable code of conduct, game rules or any other set of behavioural, gameplay, community, or content guidelines established by us and published on our website and/or within the Game.

Game Balance

For the purposes of this EULA, “Balance” means the Game’s mechanics, rules, features, progression systems, and the characteristics, functionality, or statistics of any in-game items, characters, abilities, or similar elements.

We may adjust, modify, or remove aspects of the Balance from time to time in order to improve, evolve, or otherwise enhance the Game and the overall user experience. Such changes do not constitute a breach of this EULA or any obligation on our part.

In-Game Events

We may, from time to time, organise events, competitions, or similar activities within the Game (“In-Game Events”). The rules, conditions, and results of In-Game Events will be determined solely by us, and our decisions regarding winners will be final and complete.

If an In-Game Event offers physical or digital prizes, their delivery will be subject to availability in the winner’s country of residence and the ability of delivery or courier services to provide them. We are not responsible for the failure to deliver a prize due to legal restrictions, logistical limitations, or service unavailability.

Refunds

The Game may be distributed or sold through third-party platforms, stores, or marketplaces (such as the App Store, Google Play, Xbox Store, PlayStation Store, Steam, Origin, or similar) (“Platforms”). If you purchased the Game through a Platform, any request for a refund must be submitted directly to that Platform using its applicable contact methods and refund procedures.

If you purchased Premium Content or Virtual Currency directly from us, you may request a refund by contacting us at [email protected]. All refund requests will be handled in accordance with applicable law.

Technical Protection Measure

We may utilise technical or content protection measures, developed by us or third-party partners, for the Game in order to prevent piracy and the unauthorized copying or use of the Game. Attempting to circumvent, disable, or tamper with these measures will terminate this EULA.

Third-Party Links

The Game may contain links to websites or platforms owned by third parties. Such links are provided for informational purposes only. We are not responsible for any third-party websites or their content.

Limitation of Liability

To the extent permitted by applicable law, and subject to any mandatory legal guarantees, the Game is provided “as is” and “as available.” We make no express, implied, or statutory warranties, including warranties of accuracy, reliability, fitness for a particular purpose, title, non-infringement, market value, or your satisfaction, and do not guarantee uninterrupted or error-free operation. No advice or information, whether oral or written, obtained from the Game or our representatives, will create any warranty not expressly made in this EULA.

Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, losses, obligations, damages, or expenses arising from your use of or access to the Game, your breach of these EULA, or your violation of any law or the rights of a third party. This term will continue to be effective even if you have stopped using the Game.

Termination

This EULA remains in effect until terminated. You may terminate the EULA at any time by removing or uninstalling the Game from your device.

The EULA will automatically be terminated by Us if you fail to comply with any of the terms and conditions of this EULA. In the event of termination for any reason, you must immediately uninstall the Game from your device.

All provisions of this EULA relating to warranties, limitations of liability, remedies and damages will survive termination, to the extent provided by mandatory provisions of applicable law.

Warning About The Risk Of Epilepsy

A very small percentage of people may experience a seizure when exposed to certain visual images, including flashing lights or patterns that may appear in the Game. Even people who have no history of seizures or epilepsy may have an undiagnosed condition that can cause these “photosensitive epileptic seizures” while playing video games.

These seizures may have a variety of symptoms, including lightheadedness, altered vision, eye or face twitching, jerking or shaking of arms or legs, disorientation, confusion, or momentary loss of awareness. Seizures may also cause loss of consciousness or convulsions that can lead to injury from falling down or striking nearby objects.

Immediately stop playing and consult a doctor if you experience any symptoms.

Governing Law and Dispute Resolution

This EULA and any dispute, claim, or controversy arising out of or relating to it, the Game, or any related services will be governed by and construed in accordance with the laws of Cyprus, without regard to conflict-of-laws principles.

To the maximum extent permitted by applicable law, you agree that any dispute, controversy, or claim arising out of or relating to this EULA, including its formation, existence, validity, performance, breach, or termination, will be finally resolved by national courts of Cyprus.

To the maximum extent permitted by applicable law, you agree that any proceedings, whether in arbitration or in court, will be conducted solely on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or mass action. Unless you and Company agree otherwise in writing, no arbitrator or court may consolidate more than one person’s claims or otherwise preside over any form of a class, collective, representative, or mass action.

If arbitration is not permitted by applicable law, or if you are entitled under applicable law to bring proceedings in your local courts, you may do so in the courts of your place of habitual residence.

You agree that any cause of action arising out of or related to the Game must commence within 1 year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
